Nichole Hatcher
Nichole has more than 20 years of legal experience as a practicing attorney, including serving as managing counsel for clients on various types of complex litigation, including business and contract disputes, insurance litigation, personal injury litigation, employment matters, and construction disputes. She has served in the role of general counsel, outside counsel and in-house counsel to various size companies, including providing day to day legal support and guidance on all types of compliance and risk management to help them achieve their operational objectives. Her work has included assisting clients with every aspect of business development, including from initial set up, merger and acquisition, employee growth, and through the sale of the business. She has personally first-chaired many litigated matters from the initial demand stages, through discovery, mediation, arbitration, motions, trial, and appeal. She has appeared and is licensed to practice in North Carolina and Maryland and has appeared in the State and Federal District, Superior, Appellate and the NC Supreme Courts. Although she was born and raised in Massachusetts, she spent over 16 years in Maryland and the District of Columbia. She is an avid tennis player and enjoys spending time with her five-year old son.

Jonathan Macy
Jonathan Macy has been licensed to practice law for over 17 years in which he has both served as General Counsel and external counsel in representing a variety of domestic and international clients. Jonathan has represented clients ranging from start-ups and family owned businesses to established companies that are leaders in their marketspace in the aviation, insurance, finance, energy, and retail industries. Jonathan has advised clients in a variety of transactions including, but not limited to, capital raises, debt financing, mergers and acquisitions, dispositions, and roll-ups.
Jonathan, born and raised in New York, has called South Florida his home for the last ten years now residing in Miami Beach with his wife, two sons and small dog. Outside of work, you can find him at the barbeque, coaching his sons’ baseball teams, hosting events for local organizations, cheering for the NY Yankees or FL Marlins or enjoying a date night with his wife.

Matthew W. Miller
Matthew W. Miller, JD, MBA, CEDS, is an experienced litigation attorney and executive with a demonstrated history of success in the legal industry. He formerly co-owned a personal injury law firm in Illinois and recently served as Legal Counsel for Reveal Data Corporation – a venture capital backed, SaaS based eDiscovery software company. Matthew presently consults for and provides legal services to various individuals and businesses addressing matters of tort litigation, e-discovery, residential real estate transactions, business entity formation, and employment contracts/severance packages. He has a BS from Indiana University – Bloomington, a JD from the Illinois Institute of Technology – Chicago Kent College of Law, and an MBA from the University of Notre Dame.

Timothy J. Nalepka
Tim has more than 38 years of experience practicing law in a vast array of legal disciplines. He recently completed nearly 25 years as general counsel and chief risk management executive for the leading motorcoach manufacturer in the US and Canada. Tim has the proven ability to translate business objectives into effective legal and risk management programs in manufacturing, sales, and service organizations. He has demonstrated expertise in handling the wide range of legal and risk management matters confronting most businesses today, including negotiating and documenting complex transactional matters, managing litigation, handling corporate governance, data privacy, and compliance matters, and procuring appropriate insurance coverages. Tim has a BA with honors from the University of Illinois, and his law degree with honors from Northwestern University School of Law. He and his family live in the Chicagoland area.

Ann Straw
Ann Straw is an accomplished corporate attorney whose experience includes consultation and negotiation on public offerings, private placements, corporate structure and reorganization, corporate governance and employment. She has represented private and public clients in manufacturing, bio-technology and transportation sectors and has actively participated in corporate training programs to address issues concerning corporate ethics, corporate governance, data privacy compliance and discrimination prevention.
Ann has served as the US General Counsel of Votorantim Cimentos North America, Inc., a North American subsidiary of The Votorantim Group; as Vice President & General Counsel at Empire Today and the Chas. Levy Companies; and as Vice President, Chief Compliance Officer at Laidlaw International. Prior to that, she was a partner at the law firm of Neal, Gerber & Eisenberg in Chicago. In the 1990’s Ann and four colleagues formed and took public an environmental services company, and later sold the company to Allied Waste Industries, Inc. in a merger valued at $1.1 billion. Ann’s deep experience as an in-house general counsel enables her to provide high-level support to the clients of Outside General Counsel.

Patrick K. Walls
Pat has 30 years of experience working as a C-suite executive and general counsel for small and medium-sized companies primarily in the franchising and distribution space. Pat started his career in the Chicago area in 1994 working for the world’s oldest and largest franchise consulting firm, drafting franchise documents for companies ranging from start-up franchisors to Fortune 100 companies. Pat has extensive experience both as a legal and business executive, helping a number of clients achieve stellar growth and grow from regional to national businesses. Pat now finds himself putting his business and legal experience and acumen to work for OGC’s clients Pat is licensed to practice law in Illinois and Mississippi and is a member of the bar of the United States Supreme Court. Pat resides in Henderson, Nevada with his wife and 8-year-old son.

After spending most of his career in-house with large public companies, Andy has recently expanded his practice by serving as outside general counsel for small and medium sized businesses. He has a strong background in business and finance, which makes him even more valuable as a trusted resource for his clients.
